Public offer agreement

This version is effective from 01.09.2026.

1. General provisions

1.1. This document is an official proposal (public offer) of the Individual Entrepreneur Illia Markovych Kotok, taxpayer number 2883211651 (hereinafter — the "Provider"), to conclude a Service Agreement on the terms set out below.

1.2. Pursuant to Articles 633 and 641 of the Civil Code of Ukraine, this document is a public offer, and a natural or legal person who accepts the terms set out below becomes the Customer.

1.3. Acceptance of the offer is any of the following actions: registration on the Service website, signing in to the Service under your account, or payment for the services by any available method. Registration and/or signing in by the User means that they have read this Agreement and accept its terms in full.

1.4. The Agreement is deemed concluded from the moment the offer is accepted.

1.5. By accepting this Offer, the Customer confirms agreement with the version of the Agreement in force on the date of acceptance. The Provider may record the fact of acceptance, its date and time, the IP address, the user agent and the user identifier.

1.6. Where this Agreement is published in several languages, the Ukrainian version prevails for the purposes of interpretation.

1.7. This Agreement is governed by and construed in accordance with the law of Ukraine.

1.8. The Service is intended for use in business and professional activity. Where the User is a consumer within the meaning of consumer protection law, the terms of this Agreement apply to them only to the extent they do not conflict with the mandatory provisions of that law.

Terms and definitions

  • Service — the iFurn.pro software available through a web interface, intended for placing and processing orders for furniture parts, production accounting and preparation of programs for equipment.
  • Customer / User — a natural or legal person who has accepted the offer and uses the Service.
  • Account — the User's account in the Service.
  • Subscription — the right to access the functionality of the Service during a specific paid period.
  • Content / User data — any information, files, projects, images and other data uploaded or created by the User in the Service.

2. Subject of the agreement

2.1. The Provider grants the Customer paid information services consisting of access to the iFurn.pro software.

2.2. The services are provided on a subscription basis (SaaS — Software as a Service).

2.3. The services may include: access to the web interface of the Service; data storage with technical and organisational protection measures; technical support within the scope of the selected plan; updates and further development of the functionality.

2.4. The Service provides the User solely with the technical means of using the software. The Provider is not a party to transactions, settlements or other legal relations between users of the Service and/or third parties.

2.5. The Provider does not render legal, accounting, valuation, design or other professional advisory services unless expressly stated otherwise on the Service website.

2.6. The Provider is not a seller, manufacturer, supplier, customer, contractor, agent, representative, payment intermediary or guarantor of the performance of obligations in legal relations between Users of the Service and/or third parties. The Provider does not control and is not liable for the quality, deadlines, completeness, price, payment, delivery, manufacturing, installation or conformity of goods or services with what the parties agreed, nor for the performance of any other obligations between Users and third parties.

3. Procedure for providing the services

3.1. To obtain the services, the Customer registers on the Service website, selects a tariff plan and makes payment.

3.2. Access to the Service is granted, as a rule, automatically after the payment is confirmed, unless technical particulars of payment processing require otherwise.

3.3. The services are rendered electronically and remotely by granting access to the functionality of the Service. The fact that access was granted, the subscription was activated, and the data of the Provider's internal accounting systems constitute sufficient confirmation that the services have been rendered.

3.4. Unless expressly required by mandatory provisions of law, no paper acts of services rendered are drawn up or signed.

3.5. The absence of any claim from the Customer within 5 (five) calendar days from the moment access is granted confirms that the services were rendered properly and accepted.

3.6. At the Customer's request, the Provider may generate the available electronic settlement and supporting documents within the applicable settlement model.

4. Price and payment procedure

4.1. The cost of the services is determined by the selected tariff plan. The current tariffs are published on the Service website.

4.2. The Service offers two tariff plans: "Company" — for accepting orders from customers, and "Manufacturer" — access to the personal production cabinet.

4.3. The minimum payment period is 3 (three) months.

4.4. Payment is made on the basis of 100% prepayment.

4.5. Payment methods: bank card (Visa, Mastercard) and bank transfer to the current account.

4.6. Payment is deemed made at the moment the funds are credited to the Provider's account.

4.7. Prices are stated in hryvnia (UAH).

4.8. No automatic charging takes place: each subsequent period is paid by the Customer separately.

4.9. An invoice is valid for 5 (five) calendar days from the date it is issued. After that period an unpaid invoice is cancelled automatically.

4.10. The maximum advance payment period for a subscription may not exceed 2 (two) years from the current date.

4.11. After the subscription ends, the User's data is retained for 90 (ninety) calendar days, after which it may be deleted without the possibility of recovery.

5. Rights and obligations of the parties

5.1. The Provider undertakes to: use reasonable efforts to keep the Service operational, except during maintenance periods and circumstances beyond its reasonable control; provide access within the scope of the paid plan; comply with the data processing terms; provide technical support within the scope of the selected plan.

5.2. The Provider is entitled to: change the functionality of the Service; carry out maintenance; suspend access in the event of a breach of the terms; change tariffs with prior notice.

5.3. The Customer undertakes to: pay for the services on time; comply with this Agreement and other published documents; keep the Account credentials confidential; use the Service exclusively for lawful purposes.

5.4. The Customer is prohibited from using automated mass data collection tools, scripts, parsers and bots, as well as from taking actions that place an excessive load on the infrastructure of the Service, unless expressly permitted by the Provider.

5.5. The Customer is entitled to: use all features of the selected plan; request technical support; cancel the subscription at any time; initiate deletion of the account and data in the manner provided by the Service interface.

User data and content

5.6. The User uploads, stores and uses in the Service any data, projects, documents and other information independently and at their own risk, and warrants that they hold all necessary rights to it.

5.7. The User uses all reasonable efforts to ensure that the information they post is accurate, complete and lawful, and that the rights of third parties and the requirements of data protection and intellectual property law are observed.

5.8. The Provider does not check and is not obliged to check the accuracy or lawfulness of the data uploaded by Users and bears no responsibility for such content.

5.9. The Provider is not liable for the deletion, loss, damage or unavailability of the User's data unless expressly provided otherwise by mandatory provisions of law. The User is obliged to make their own backups of critically important information.

5.10. By posting content in the Service, the User grants the Provider a non-exclusive, royalty-free right to store, process and technically use such content solely to the extent necessary for the Service to operate.

5.11. If claims are brought against the Provider by third parties or state authorities in connection with the User's content or actions, the User undertakes to settle such claims independently and to compensate the Provider for the losses incurred.

Right to modify the Service and restrict access

5.12. The Provider is entitled to change the structure, interface and functional capabilities of the Service, to add or remove individual features, to change tariffs, and to update the text of this Offer and other documents. A new version takes effect from the moment it is published on the website.

5.13. Continued use of the Service after the changes take effect means that the User agrees with the new version of the documents.

5.14. The Provider is entitled to temporarily restrict or terminate access to the Service in the following cases: breach of the law or of the terms of the Service documents; detection of suspicious or fraudulent activity; maintenance work; a threat to the security of the Service; non-payment; the need to comply with requirements of the law or of state authorities. Such a restriction is not considered a breach of the Provider's obligations.

5.15. The parties recognise the legal force of notices, invoices and receipts sent through the Service interface, by e-mail or through messengers linked to the account. The User is obliged to keep their contact details up to date.

5.16. The User is solely responsible for complying with the legal requirements applicable to their business or professional activity, including taxation, accounting, the use of cash registers (RRO/PRRO), the issuing of settlement and primary documents, consumer protection, personal data, licensing and other mandatory requirements. The presence in the Service of technical features for producing documents, calculations, orders or records does not mean that the Provider confirms their conformity with the law of a particular country, type of activity or particular User. The User determines on their own whether the relevant legal, accounting, tax and other procedures apply and, where necessary, consults the appropriate professionals.

5.17. Changes to the Service or to this Agreement that materially reduce the scope of services for an already paid period apply to the User from the next paid period, unless otherwise provided by law or agreed with the User.

5.18. The User exports critically important production data from the Service on their own and on a regular basis. Recovery of data by the Provider is not guaranteed.

6. Refunds

6.1. A refund is possible for as long as the Customer has not used the paid access. The first sign-in to the paid cabinet after the funds are credited means that the service has been rendered in full.

6.2. To obtain a refund the Customer contacts the Provider using the contacts stated in this Agreement. The request is considered within up to 10 (ten) business days.

6.3. Funds are returned by the same method used for the payment.

6.4. No refund is made for access already granted, except in cases expressly provided for by law.

6.5. This section does not limit the rights granted to a User who is a consumer by the mandatory provisions of consumer protection law and of the law on distance contracts.

7. Liability of the parties

7.1. The Service is provided on an "as is" and "as available" basis. The Provider does not warrant that the Service will fully match the Customer's subjective expectations or operate without interruption and without errors in all cases.

7.2. The Customer understands that software by its nature is not free from errors and that individual features may be temporarily unavailable, limited or changed.

7.3. The Provider may offer individual features in a test or limited mode; for such features the Provider does not warrant continuous availability or data retention.

7.4. The Provider is not liable for: interruptions in the operation of the Service, failures of communication channels, hosting, data centres, payment systems and other third-party platforms; acts or omissions of third parties; unauthorised access that did not occur through the Provider's fault; lost profit, indirect or consequential damages; the content and consequences of using information posted by Users.

7.5. The aggregate liability of the Provider under any claims of the Customer is limited to the amount actually paid for the services during the last 3 (three) months preceding the event that gave rise to the claim.

7.6. Nothing in this Agreement excludes or limits the liability of the Provider to the extent that such limitation is expressly prohibited by law.

7.7. Force majeure. The parties are released from liability for failure to perform their obligations caused by circumstances of force majeure, including war, hostilities, acts of terrorism, cyberattacks, mass communication failures, power outages, acts of state authorities, data centre incidents and other circumstances beyond the reasonable control of the Parties.

7.8. Calculation results and production use. The Service is an auxiliary software automation tool and does not replace professional verification of technological, design, production or other documentation.

7.9. The Customer independently verifies the correctness of the input data, dimensions, parameters, specifications, drawings, files, machine programs and other results produced or processed with the Service before they are actually used in production.

7.10. The decision to start production, cut materials, machine parts, or pass data to equipment or third parties is taken by the Customer independently and at their own responsibility.

7.11. The Provider is not liable for production defects, damage to materials or equipment, the need to remake products, production downtime, lost profit or other losses arising from the use of the results of the Service without proper verification by the Customer, except where such liability cannot be limited under the applicable law.

8. Confidentiality and personal data

8.1. Personal data is processed in accordance with the Privacy Policy published on the Service website and with the law of Ukraine.

8.2. The User confirms that they have read the Privacy Policy and accept its terms.

8.3. If the User uploads personal data of third parties to the Service, they warrant that they have proper legal grounds for such transfer and processing.

8.4. The Provider takes reasonable organisational and technical data protection measures but does not guarantee absolute security of information systems and data transmission channels.

9. Term of the agreement

9.1. The Agreement enters into force upon acceptance and remains in force until the obligations are fully performed.

9.2. The Agreement may be terminated by mutual consent of the parties, at the initiative of the Customer (cancellation of the subscription) or at the initiative of the Provider in the event of a breach of the terms.

9.3. If any provision of this Agreement is found invalid, this does not affect the validity of the remaining provisions.

10. Dispute resolution

10.1. Disputes are resolved through negotiations. Before applying to a court, the party that considers its rights to have been violated undertakes to send the other party a written or electronic claim.

10.2. A claim is considered within 15 (fifteen) calendar days from the date of its receipt, unless another period is established by law.

10.3. This Agreement is governed by and construed in accordance with the substantive law of Ukraine regardless of the citizenship, place of residence, place of registration or location of the User, including where the User is a foreign natural or legal person. The application of conflict-of-law rules referring to the law of another state, as well as of the United Nations Convention on Contracts for the International Sale of Goods, is excluded.

10.4. If no agreement is reached, the dispute is subject to consideration by the courts of Ukraine at the location of the Provider. This does not deprive a User who is a consumer of the rights granted to them by mandatory provisions of the law of their country of permanent residence, where such provisions apply to them.
